These terms cover the Baxie marketing site at baxiehq.com and the waitlist signup form. They do not cover the Baxie app itself. By joining the waitlist you confirm you're at least 18, you're signing up on behalf of a business, and you understand a waitlist signup is not a contract for service, a guaranteed slot in the beta, or a guaranteed price. 1. Acceptance of these terms
By using baxiehq.com ("the site") or submitting the waitlist form, you agree to these Terms of Service. If you do not agree, do not use the site or submit the form.
The business behind these terms is:

2. Scope
These terms cover:
- Your use of the marketing site at baxiehq.com and any subpages.
- Your submission of the waitlist form and any related communications you receive from us as a result.
These terms do not cover the Baxie app at app.baxiehq.com. If you later become a beta user or paying customer of the app, you will be presented with separate terms for that, and those terms will govern your use of the app.
3. Eligibility
You may use the site and join the waitlist only if all of the following are true:
- You are at least 18 years old.
- You are signing up on behalf of a business (typically a general contractor or construction-adjacent business) and have authority to do so, or you are evaluating Baxie for personal business purposes.
- You are not barred from receiving services under the laws of the United States or California.
Baxie is intended for a business audience. The site is not directed to consumers buying for personal household use.
4. The waitlist is not a contract for service
Joining the Baxie waitlist is a request for information and a place in line. It is not any of the following:
- A contract for Baxie services.
- A guarantee that we will admit you to the beta or any future program.
- A guarantee that we will launch on any particular timeline, or at all.
- A guarantee of any specific price, plan, feature set, or capacity once Baxie launches.
- An exclusive arrangement of any kind.
We may invite waitlist members into beta or launch programs in any order we choose, based on criteria we may change at any time. We may also close the waitlist, change the product, or discontinue the waitlist without notice.
5. Communications
When you join the waitlist, you consent to receive emails from us about Baxie. These will typically include:
- A confirmation that you joined the waitlist.
- Occasional updates about Baxie's progress, beta openings, and launch.
- Major product announcements relevant to GCs on the waitlist.
You can unsubscribe at any time using the link at the bottom of any waitlist email, or by emailing privacy@baxiehq.com. Unsubscribing will not affect operational emails we are required to send, such as a response to a privacy request you sent us.
You also consent to receive these emails at the email address you provided. If that address changes, it's your responsibility to let us know or unsubscribe.
6. Acceptable use
When you use the site, you agree not to:
- Submit false, fraudulent, or impersonated information through the waitlist form.
- Submit anyone else's personal information without their permission.
- Attempt to access parts of the site that are not publicly available, including any admin or API endpoints.
- Probe, scan, or test the site for vulnerabilities without our written permission. If you find a security issue and want to report it, email security@baxiehq.com (or
[Edwin to confirm security inbox]). - Use bots, scrapers, or automated tools to submit the waitlist form or pull content from the site, except for standard search engine crawlers indexing the public site.
- Use the site or any content from it to train AI models without our written permission.
- Use the site in any way that violates applicable law.
We may suspend access, delete waitlist entries, or take other reasonable steps if we believe a user has violated this section.
7. Intellectual property
The Baxie name, logo, "Margin OS for General Contractors" tagline, site design, copy, illustrations, and the underlying code of baxiehq.com are owned by Baxie or its licensors and are protected by U.S. and international intellectual property laws.
You may not copy, modify, distribute, sell, lease, or create derivative works from the site or its content, except that you may share a link to a public page on the site or quote a short excerpt with attribution for non-commercial commentary.
Trademarks, service marks, and trade names used on the site that belong to third parties (such as Supabase or Resend) are the property of their respective owners.
8. Third-party links
The site may link to third-party websites or services. We do not control those sites and are not responsible for their content, terms, or privacy practices. Following a link is at your own risk.
9. Disclaimers
The site, the waitlist, and all related content are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, or availability.
We do not warrant that:
- The site will be available without interruption or free of errors.
- Information on the site is accurate, complete, or current at all times.
- Baxie will launch on any particular date, in any particular form, or at all.
- You will be admitted to any beta or launch program.
To the maximum extent permitted by law, all such warranties are disclaimed.
10. Limitation of liability
To the maximum extent permitted by law, Baxie and its officers, employees, contractors, and affiliates will not be liable to you for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, or data, arising out of or related to your use of the site or the waitlist, even if we have been advised of the possibility of those damages.
Baxie's total aggregate liability to you for any claim arising out of or related to the site or the waitlist will not exceed one hundred U.S. dollars (USD $100). [Counsel to confirm cap is appropriate for a free, no-purchase waitlist.]
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you.
11. Indemnification
You agree to defend, indemnify, and hold harmless Baxie and its officers, employees, contractors, and affiliates from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of:
- Your violation of these terms.
- Your violation of any law or the rights of a third party.
- Your misuse of the site.
12. Governing law and venue
These terms are governed by the laws of the State of California, without regard to its conflict of laws principles.
Any dispute that cannot be resolved informally will be brought exclusively in the state or federal courts located in [Edwin to fill: county of LLC's principal place of business, e.g., San Diego County or current county of formation], California, and you consent to the personal jurisdiction of those courts.

13. Changes to these terms
We may change these terms from time to time. If we make material changes, we will update the "Last updated" date and post the new terms on the site. For people on the waitlist, we will email a notice before material changes take effect. Continued use of the site or the waitlist after changes take effect means you accept the updated terms.
14. Severability and entire agreement
If any part of these terms is held unenforceable, the rest will remain in effect. These terms, together with the Privacy Policy and the CCPA Notice at Collection, are the entire agreement between you and Baxie about your use of the site and the waitlist.
